User Content

You agree to indemnify, defend and hold harmless TMS and each of its affiliates and related entities, against any claims or costs, including attorneys fees, arising from the use or distribution of those materials. You grant TMS and its affiliates and related entities the right to use you name in connection with the reproduction or distribution of such material. TMS also reserves the right to use any material, information, ideas, concepts, know-how or techniques contained in any communication you send to us for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products using such information. TMS retains exclusive ownership of all material and information regarding users of the Service, including demographic information, information about personal preferences and any other information provided by users. No third party may use such material without TMS's specific prior written consent.

THE SERVICE IS PROVIDED "AS IS" AND TMS SPECIFICALLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF MERCHANTABILITY OR WARRANTIES AGAINST INFRINGEMENT.

TMS assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect, your computer equipment or other property on account of your access to, use of, or browsing in, the Service or your downloading of any materials, data, text, images, video, or audio from the Service.

IN NO EVENT SHALL TMS, ITS AFFILIATES, EMPLOYEES, AGENTS, CONTENT PROVIDERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES. IN NO EVENT SHALL TMS, ITS AFFILIATES, EMPLOYEES, AGENTS, CONTENT PROVIDERS OR LICENSORS BE LIABLE FOR ANY AMOUNT FOR DIRECT DAMAGES: (a) IN EXCESS OF THE AMOUNT PAID BY YOU TO THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIMED INJURY OR DAMAGE, OR (b) FOR ANY CLAIM, ALLEGATION OR INJURY RESULTING FROM OR RELATED TO (1) YOUR USE OR INABILITY TO USE THE SERVICE; (2) ANY ERRORS, OMISSIONS OR DEFECTS IN THE CONTENT; (3) ANY INTERRUPTIONS, DELAYS IN TRANSMISSION OR COMPUTER VIRUSES.

In addition, TMS may at any time transfer its rights and obligations under this Agreement to any Tribune Company affiliate, subsidiary or business unit, or any of their affiliated companies or divisions. These Terms of Service will be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflicts of law provisions. You hereby agree that any cause of action you may have with respect to the Service must be filed in the federal or state courts located in Chicago, Illinois, within one year after the cause of action arises.
